National Partnership Agreement

THIS NATONAL PARTNERSHIP AGREEMENT (“Agreement”) made this _______________________, 2019 is by and between Safety Alliance LLC, a for profit, Florida limited liability company, with an address of 5190 NW 167th Street, Suite 201, Miami Lakes, FL 33014 (“Safety Alliance”) and the _______________), a (State) company with a mailing address of __________________________________ (“__________”).


Whereas, Safety Alliance is an environmental, health and safety organization, specializing in education; and

Whereas, (Company Name) is a business working with companies, and professionals to promote safety and (business and services description); and

Whereas, it would be mutually beneficial for both parties hereto to enter into an Agreement for the mutual benefit of creating a partnership on a national level; and

Whereas, the parties hereto wish to memorialize the terms and conditions of their agreement in writing.

NOW, THEREFORE, in consideration of the mutual promises contained herein, and intending to be legally bound thereby, the parties agree as follows:

  1. The recitals are incorporated by reference as if each were set forth at length
  2. The term of this Agreement shall commence on the date this Agreement is executed by the parties and shall end twelve (12) months thereafter, unless terminated earlier as provided herein. The initial term may be extended upon the mutual written agreement of the parties hereto. The term, and any extension thereof, may be shortened upon the mutual agreement of the parties hereto, of if there is a material breach of any term or condition hereof that remains uncured after thirty (30) days written
  3. During the initial term of this Agreement and any extension thereof, the Safety Alliance shall work with (COMPANY NAME) to coordinate educational seminars or training courses for Safety Alliance chapters nationally and/or internationally that is beneficial to both
  4. For purposes of this Agreement, and more specifically for purposes of understanding the responsibilities of both the Safety Alliance and (COMPANY NAME) as they relate to this Agreement, the following conditions are set forth;
    1. Training dates and times will be agreed upon by both parties in each geographic area,
    2. Training locations with be the responsibility of the Safety Alliance. While every effort will be made to find the most cost-effective venue, the Safety Alliance is ultimately responsible for conference room or classroom rental as needed,
    3. (COMPANY NAME) will be responsible for furnishing instructor(s), training materials, certifications, and any, and all, equipment and materials as they relate to the seminars and training courses,
    4. The Safety Alliance shall at the end of each seminar or training course, provide, or make available to (COMPANY NAME), copies of all registration and sign-in sheets with participants current contact
  5. All revenue collected by the Safety Alliance during the registration process, for each scheduled seminar or training course, shall be used by the Safety Alliance for expenditures and operations. The goal of this agreement is to collect revenue from scheduled seminars and training courses that is equal to, or greater than, $15,000 per calendar year.
  6. The Safety Alliance may use the (COMPANY NAME) name and related logo in trade publications, websites and other marketing materials for the purpose of marketing their seminars and training courses. Any uses by the Safety Alliance of the (COMPANY NAME) logos shall be submitted to and reviewed by (COMPANY NAME). The Safety Alliance cannot use the submitted materials until the Safety Alliance has received written approval from (COMPANY NAME). Any notices required hereunder shall be sent via electronic mail to the following individuals at the following electronic mail addresses listed on the last page of this agreement.
  7. This Agreement shall be interpreted and construed, and the legal relations created herein shall be determined in accordance with the laws of Florida without giving effect to its conflict of laws, principles, or
  8. The Parties further agree that the venue and jurisdiction for any action brought to enforce this Agreement shall be in the Court of Miami-Dade County,
  9. This Agreement contains the entire agreement between the parties pertaining to the subject matter hereof and supersedes any prior written or oral agreements relating thereto. No modification or amendment of this Agreement or of its terms and conditions shall be binding upon either of the parties unless duly executed by both
  10. This Agreement shall be binding upon, and inure to, the benefit of the Parties’ successors and assigns.
  11. Any failure or delay by a party in exercising or enforcing any right hereunder shall not operate as a waiver thereof. Any waiver by a party of any right hereunder on any one occasion shall not be construed as a continuing waiver or waiver on any subsequent occasion. Any single or partial exercise of any right under this Agreement shall not preclude any subsequent or further exercise of such right or of any other right under this
  12. This Agreement may be signed in one or more counterparts, each of which shall be deemed an original but all of which shall constitute one and the same
  13. During the terms of the Agreement, the Safety Alliance shall promote (COMPANY NAME) as follows:
    1. The Safety Alliance shall add to the Safety Alliance home page a (COMPANY NAME) logo that directs visitors to the (COMPANY NAME) landing page.
    2. (COMPANY NAME) will furnish an advertising banner featuring the (COMPANY NAME) logo for one additional Safety Alliance website page and may revise at any time throughout the course of this
    3. The Safety Alliance shall advertise (COMPANY NAME) as a National Partner on all Safety Alliance chapter emails, agendas and
    4. The Safety Alliance shall advertise (COMPANY NAME) as a National Partner at the top of every chapter page on Safety Alliance
    5. The Safety Alliance shall recognize (COMPANY NAME) in an industry trade publication and during their annual holiday meeting.
    6. The Safety Alliance will facilitate (COMPANY NAME) to conduct presentations, for Safety Alliance chapters where the (COMPANY NAME) has qualified representatives, throughout the course of the terms of the Agreement
    7. The Safety Alliance will allow (COMPANY NAME) to post unlimited job postings on Safety Alliance employment page and newsletters at no cost to (COMPANY NAME).
    8. The Safety Alliance will not create a national partnership with another (Business Description) organization
